1. Acceptance of Terms
OneStopReal is a B2B platform intended for use by business professionals and entities. By using the service, you represent that you are acting in a professional or business capacity. By creating an account or using OneStopReal (owned and operated by OneStopReal LLC), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the platform.
1a. Business Use Only - Not for Consumer Purposes
OneStopReal is intended exclusively for business and professional use. You shall not use the platform or any information, outputs, or projections generated through it: (a) For personal, family, or household purposes; (b) To determine an individual's eligibility for credit, insurance, employment, housing, or any government license or benefit; (c) In any manner that would constitute a "consumer report" under the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) or any comparable state or federal law; or (d) In any way that would create a fiduciary, advisory, or professional relationship between you and OneStopReal LLC. By using the platform, you represent and warrant that you are using it solely in a professional or commercial capacity.
2. Description of Service
OneStopReal is a software-as-a-service (SaaS) platform for real estate development financial modeling. We provide tools including a napkin calculator, full project editor with cost modeling, unit mix analysis, proforma Excel exports with live formulas, LP/GP waterfall analysis, and sensitivity dashboards.
3. Accounts & Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. Each account is intended for use by a single individual unless you are on a team plan.
4. Subscription & Billing
Subscriptions are billed monthly or annually through Paddle, our Merchant of Record. Paddle handles all payment processing, invoicing, tax collection, and regulatory compliance on our behalf. Prices are listed on our pricing page and may change with 30 days' prior notice to existing subscribers.
5. Free Trial
We offer a 14-day free trial of our paid plans. No credit card is required to start a trial. Your trial will convert to a paid subscription only upon your explicit upgrade. You will not be charged automatically at the end of the trial period.
6. Cancellation & Refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period - you will retain full access until then. As Paddle acts as Merchant of Record for all purchases made through OneStopReal, refund eligibility is governed by Paddle's Buyer Terms and Paddle's Refund Policy. This includes applicable statutory withdrawal rights for consumers in the EU, EEA, and UK. Refund requests should be directed to Paddle. For billing inquiries, contact us at info@onestopreal.com.
7. Intellectual Property
All platform code, design, branding, and content are owned by OneStopReal LLC. The data you input into the platform - including your projects, financial models, and exported files - remains your intellectual property. We do not claim ownership of your work.
8. Data & Privacy
Your data is stored securely using Supabase, hosted on Amazon Web Services (AWS) infrastructure. For full details on how we collect, use, and protect your information, please see our Privacy Policy.
9. Disclaimer
OneStopReal provides financial modeling tools for estimation and analysis purposes only. The outputs generated by our platform are projections based on user-supplied inputs and should not be construed as financial, investment, or legal advice. Always consult qualified professionals before making investment decisions. We are not responsible for decisions made based on outputs from our tools. OneStopReal is not responsible for any modifications made to Excel or PDF exports once they are downloaded. Users are solely responsible for auditing and verifying the integrity of any formulas or data within exported files before sharing them with third parties.
10. Limitation of Liability
To the maximum extent permitted by applicable law, OneStopReal LLC's total aggregate liability to you shall not exceed the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless OneStopReal LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the platform, your violation of these Terms, or your infringement of any third-party rights.
12. Modifications
We reserve the right to update or modify these Terms of Service at any time. Material changes will be communicated via email or through the platform. Your continued use of OneStopReal after such changes constitutes acceptance of the updated terms.
13. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles.
14. Distributor Commission Disbursements
Distributor commissions are calculated and accrued solely upon the Company’s (OneStopReal LLC) confirmed receipt of fully cleared, non-refundable funds from end-users. The Company makes no guarantee of specific payout dates (e.g., Net-30). Disbursements will be issued on a commercially reasonable timeline determined at the sole discretion of the Company, strictly following the verification of cleared revenue. The Distributor is solely responsible for any wire transfer fees, exchange rates, or processing fees associated with their chosen disbursement method.
14a. Distributor Marketing Conduct
Distributors are independent partners, not employees, agents, or legal representatives of OneStopReal LLC. Distributors are solely responsible for all promotional activities conducted using their referral link and must comply with all applicable laws and regulations in their jurisdiction, including those governing electronic communications, unsolicited contact, and marketing practices (including but not limited to CAN-SPAM, GDPR, CASL, and equivalent local regulations). OneStopReal LLC does not authorize, direct, or sanction any promotional method that violates applicable law. Any distributor found to be conducting non-compliant promotional activities may have their distributor relationship terminated at OneStopReal LLC's sole discretion, with forfeiture of any unpaid commissions.
15. Distributor Tax Compliance & Withholding
As a United States Limited Liability Company, OneStopReal LLC is required to maintain strict tax compliance. The Company reserves the right to suspend or withhold any and all commission disbursements indefinitely until the Distributor has provided satisfactory and legally compliant tax documentation (such as Form W-9 for US entities, or Form W-8BEN / W-8BEN-E for foreign entities). Failure to maintain a valid, unexpired tax form on file constitutes a breach of these terms and will result in a freeze of all accrued commissions until compliance is restored.
